LEGAL INFORMATION
Terms and conditions of sale
Services on quotation and online sale of digital products. Version in force as of 3 November 2026. This English translation is provided for information only; in case of discrepancy, the French version prevails.
Article 1 – Purpose and scope
These general terms and conditions of sale govern the relationship between Tao Sense and its clients for:
— services carried out on quotation: websites optimised for search engines and AI assistants, photography, support with the use of AI, support with GDPR and AML/CFT compliance (Title I);
— the online sale, on the Shop page of the site, of downloadable digital products: prompts, libraries, templates and compliance modules, supplied as files (in particular PDF) (Title II).
Any order implies acceptance of the terms and conditions in force on its date. Special conditions set out in a signed quotation prevail over these terms.
Article 2 – Seller identification
Tao Sense, SASU (simplified joint-stock company with a sole shareholder) with a share capital of 5,000 euros, 14 boulevard Jean-Jaurès, 92100 Boulogne-Billancourt, France, SIREN 801 583 113, EU VAT number FR41 801 583 113. Contact: form on the Contact page or contact [at] tao-sense [dot] com.
Article 3 – Definitions
“Client”: any person who orders a service or a product. “Business client”: a client acting for the purposes of their professional activity (law firm, accounting firm, notarial office, company). “Consumer”: a natural person acting for purposes outside their professional activity; certain protective rules also benefit professionals employing five people or fewer when the purchase falls outside the scope of their main activity (Article L. 221-3 of the French Consumer Code).
TITLE I – SERVICES ON QUOTATION
Article 4 – Quotation and order
Each service is subject to a free quotation, valid for one month. The order is formed when the signed quotation is returned together with the agreed deposit. Work begins when the deposit is received.
Article 5 – Performance and approvals
Tao Sense performs the services with care, in accordance with professional standards, under an obligation of means. Unless otherwise stated in the quotation, each deliverable (mock-ups, visuals, copy, photo selection) includes up to three rounds of changes; additional requests are invoiced on a supplementary quotation.
The client provides the content, access and information required within three months of the order and warrants that it holds the rights to the materials provided. After this period, Tao Sense may invoice the work carried out and the balance becomes due.
Tao Sense does not guarantee any ranking or any citation by a search engine or an AI assistant, as these tools remain in control of their results.
Article 6 – Delivery and acceptance
Putting the website online or handing over the final files constitutes delivery. For thirty days, the client may request minor corrections at no extra cost.
Article 7 – Prices and payment
Service prices are expressed in euros excluding tax; the applicable VAT is added. Unless otherwise stated in the quotation: 40% on order, 30% on approval of the mock-ups, 30% on delivery. Invoices are payable within fifteen days.
For business clients, any late payment automatically incurs penalties at three times the statutory interest rate and a fixed recovery fee of 40 euros (Article L. 441-10 of the French Commercial Code). Tao Sense may suspend ongoing services until payment.
Article 8 – Right of withdrawal for services
Business clients have no right of withdrawal. Consumers who contract at a distance or off-premises have fourteen days from the conclusion of the contract to withdraw, without giving reasons, by any unambiguous means. If they expressly requested that the service begin before the end of this period, they owe the amount corresponding to the service provided until their withdrawal (Articles L. 221-18 and L. 221-25 of the French Consumer Code).
Article 9 – Intellectual property and references
Upon full payment, Tao Sense assigns to the client the exploitation rights in the deliverables created for them, for the uses, media and duration set out in the quotation. Tao Sense retains ownership of its pre-existing methods, tools, templates, code and know-how. Photographs are assigned for the uses defined in the quotation.
Unless the client objects in writing, Tao Sense may mention the client's name and show public work as a reference.
TITLE II – DIGITAL PRODUCTS FROM THE SHOP
Article 10 – Products
Shop products are digital content supplied without a physical medium: PDF files, templates and downloadable documents. Their main characteristics (content, format, target audience, update date) are shown on each product page.
The products are information and method tools. They are neither legal advice nor personalised advice and must be adapted by the buyer to their own situation; bringing the organisation into compliance remains the buyer's responsibility.
Article 11 – Order and payment
The client selects the products, checks the summary and the total price, accepts these terms and conditions and the immediate supply conditions described in Article 13, then pays online. Prices are shown in euros including all taxes. Payment is made by bank card through a secure payment provider; Tao Sense has no access to card details. The order is confirmed by email.
Article 12 – Supply
The download link is made available as soon as payment is confirmed, on the confirmation page and by email. It is valid for a limited period stated in that message; clients are advised to save their files. If access is difficult, Tao Sense provides a new link on request.
Article 13 – No right of withdrawal and no refund
As Shop products are digital content supplied immediately after payment, they cannot be returned: once the file has been made available, it can be neither “returned” nor refunded.
For business clients, the right of withdrawal does not apply. For consumers, and for the professionals referred to in Article L. 221-3, the right of withdrawal cannot be exercised, in accordance with Article L. 221-28, 13° of the French Consumer Code, where: a) they gave, before payment, their express consent for supply to begin before the end of the withdrawal period; b) they acknowledged that they will thereby lose their right of withdrawal; c) Tao Sense sent them confirmation of this agreement on a durable medium (order confirmation email).
This consent and acknowledgement are collected through a separate, unticked checkbox before payment. Clients who do not wish to give it cannot complete the order online and may contact us.
This exclusion does not deprive the client of the statutory guarantees described in Article 15: a defective, unreadable, incomplete file, or one that does not match its description, will be replaced or, failing that, refunded.
Article 14 – Licence
The purchase grants the client a non-exclusive, non-assignable and non-transferable licence to use the files for the internal needs of a single organisation (one firm, office or company, including its staff), for the duration of the copyright.
The client may print the files and adapt the templates for internal use. The client may not resell them, distribute them publicly, share them outside the organisation or include them in a commercial offer, whether free of charge or for payment. Ownership notices must be retained.
Article 15 – Statutory guarantees
Consumers benefit from the statutory guarantee of conformity applicable to digital content (Articles L. 224-25-12 et seq. of the French Consumer Code): in the event of a lack of conformity, they may have the content brought into conformity or, failing that, obtain a price reduction or termination of the contract. Business clients benefit from the guarantees of ordinary law.
Article 16 – Liability
The products reflect the state of the regulations and practices at their update date, shown on the product page. Towards business clients, Tao Sense's liability is limited to direct and foreseeable damage, up to the price paid for the product concerned.
TITLE III – COMMON PROVISIONS
Article 17 – Confidentiality and personal data
Tao Sense keeps confidential the information provided by the client for the performance of the services. Personal data is processed in accordance with the site's privacy policy.
Article 18 – Force majeure
Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code.
Article 19 – Complaints and mediation
Any complaint can be sent through the contact form. In accordance with Articles L. 612-1 et seq. of the French Consumer Code, consumers may use a consumer mediator free of charge: [mediator details to be added before any sale to consumers].
Article 20 – Governing law and disputes
These terms and conditions are governed by French law. For business clients, any dispute falls within the jurisdiction of the competent courts for the place of Tao Sense's registered office. For consumers, the statutory rules on jurisdiction apply.
